WHEREAS, PARADOX ENTERPRISES, LLC executed a Debtor-in-Possession Term Loan Credit Agreement dated May 13, 2021 in the original principal amount of $3,000,000.00 (hereinafter referred to as the “Original Credit Agreement”) in favor of LEGALIST DIP FUND I, LP; and
WHEREAS, Paradox Enterprises, LLC executed an Amended and Restated Debtor-in-Possession Term Loan Credit Agreement (hereinafter referred to as the “Amended Credit Agreement”) dated March 11, 2022 in favor of Legalist DIP Fund I, LP, and Legalist DIP SPV II, LP, loaning an additional $6,500,000.00, increasing the total principal indebtedness to $9,500,000.00; and
WHEREAS, in order to secure the entire indebtedness, Paradox Enterprises, LLC executed a Deed of Trust, Security Agreement, and Financing Statement on August 22, 2023 in favor of Legalist DIP Fund I, LP and Legalist DIP SPV II, LP, in the total secured amount of $9,500,000.00 (hereinafter referred to as the “Deed of Trust”) which secures both the Original Credit Agreement and the Amended Credit Agreement (collectively the “Credit Agreements”); and
WHEREAS, the Deed of Trust is of record as Instrument No. 202308290011089 in the Register’s Office for Knox County, Tennessee; and
WHEREAS, said Deed of Trust is secured by real property located in Knox County, Anderson County, and Coffee County, Tennessee, but this Substitute Trustee’s Notice of Sale only involves the sale of the Knox County properties and the Anderson County and Coffee County properties will be sold by separate Substitute Trustee’s Notices of Sale; and
WHEREAS, Legalist DIP Fund I, LP and Legalist DIP SPV II, LP have named Gregory C. Logue as Substitute Trustee of the Deed of Trust through an Appointment of Substitute Trustee dated February 16, 2024, and of record as Instrument No. 202402210040337 in the Knox County Register’s Office; and
WHEREAS, default in the payment of the Original Credit Agreement and the Amended Credit Agreement and the Deed of Trust has occurred and proper notification of the parties and proper notification of said default has previously occurred; and
WHEREAS, Legalist DIP Fund I, LP and Legalist DIP SPV II, LP have demanded the real property described in the Deed of Trust be advised and sold in satisfaction of said debt with any costs legally accruing in accordance with the terms and provisions of the Credit Agreements and Deed of Trust.
